Order Issued Over Non-disclosure
The Nova Scotia Securities Commission has issued an order today, July 19, to The Helical Corporation Inc.
The corporation has repeatedly failed to file its Annual and Interim Financial Statements, and other required documentation in accordance with the Securities Act, contravening sections 83(1) and 84(1) of the Act, Part 2.2 of Multilateral Instrument 52-109, Parts 4.2, 4.4, and 5.1 of National Instrument 51-102.
In doing so, it has not maintained the integrity of continuous disclosure for a public company and acted in a manner contrary to a fair and efficient capital market and the public interest.
Under the order, The Helical Corporation Inc. must comply with and cease contravening Nova Scotia securities laws, all persons or companies must permanently cease trading in The Helical Corporation Inc. securities directly or indirectly, and the corporation is no longer eligible for exemptions contained in Nova Scotia securities laws.
Also, The Helical Corporation Inc. must pay an administrative penalty of $60,000 and $2,400 in costs of the investigation and conduct of proceedings.
